two Warner Bros. Discovery Directors Steven Miron and Steven Newhouse are resigning following a U.S. Department of Justice investigation into potential antitrust violations, according to a report. The company released Monday.
The company said that Murren and Newhouse were both appointed directors in April 2022 as part of the merger of WarnerMedia and Discovery, and that their participation on the board was being investigated for possible violations of Section 8 of the Clayton Antitrust Act, which The law largely prohibits directors from concurrently serving on the boards of competitors.
Miron is CEO of Advance/Newhouse Partnership, a privately held media company, and a senior executive at Advance’s portfolio of media and technology companies, according to the release. Newhouse is co-president of Advance.
Their terms on the Warner Bros. board of directors are set to expire in 2025.
The company said that Millen and Newhouse did not dispute the Justice Department’s matter and voluntarily chose to resign, effective immediately. Neither director admitted any wrongdoing.
“We are proud to have played a role in building this great company and to remain a majority shareholder. We are disappointed to be leaving the board but want to do the right thing for WBD,” Newhouse said in a statement.
